hereinafter referred to as Independent Consultant.

In consideration that HWC wishes to market its products through independent retailers, and Independent Design Consultant wishes to market HWC's products as an independent retailer, the following terms are mutually agreed to:

			The Independent Design Consultant agrees that she is self-employed.  Therefore, she recognizes her personal responsibility to comply with Federal, State and Local Codes that govern self-employed persons engaged in retail sales.  Independent Design Consultant further agrees that if failure to comply with said codes results in any penalty, sales consultant will save harmless HWC from any and all costs due to such failure to comply.

Independent Design Consultant further agrees that she will not represent herself as an HWC employee.  Should Independent Design Consultant violate this provision and HWC is harmed by such violation, Independent Design Consultant agrees to indemnify HWC to the extent of harm incurred, including attorney's fees.  Also, all web sites on the internet, representing Heart Warming Creations in any way, must have prior approval from Heart Warming Creations. Independent Design Consultant further agrees to hold five (5) shows, each of a minimum of $100, within 6 weeks of receipt of starter display kit.  All monies collected for the retail sales and shipping from said parties is to be sent to HWC with the show paperwork.  Appropriate commissions on these five shows will be returned to the Independent Design Consultant upon receipt of the 5th show.  No commissions will be paid until all five shows are held, regardless of the timeframe. If  five shows (minimum of $100 in retail sales per show) are not conducted within six weeks of receipt of the starter kit, Independent Design Consultant agrees to pay full retail for all kit items.  In addition, the Independent Consultant agrees that in the event she (or he) should not complete this requirement, she (he) grants Heart Warming Creations permission to charge any balance owed to the Visa/MasterCard/ Discover/ American Express Card  used to purchase the starter kit. In return, HWC agrees to supply products to the Independent Consultant for resale to her customers at suggested retail price, less commissions.  Commissions will vary in accordance with the Independent Design Consultantâ€™s monthly sales totals and will be a minimum of 20% of the retail sales.  
	
	HWC also agrees to provide the Independent Design Consultant with a starter kit consisting of sample merchandise, sales forms and other support materials for use in promoting the products at a deeply discounted price.  Items are for sales display only and are not for personal use. Kit will be shipped upon receipt of this signed agreement and payment of said starter kit. Because of Federal Trade Commissions regulations regarding shipping promptness, Independent Consultant agrees to submit orders to HWC within 7 days after each HWC show.  Should Independent Design Consultant's delay in this matter result in a complaint being filed by the consumer, Independent Design Consultant shall bear the penalty assessed.  This may be ground for voiding this agreement.
	
	1)  The Independent Design Consultant agrees to follow policies and procedures formulated by HWC.
	
    2)  Either party may terminate this agreement at any time upon written notice to the other party or upon breach of the terms of this agreement.
	
    3)  Independent Design Consultant states that she has read this agreement and shall be bound by its terms.
